Please read these Terms of Service (“Terms”) carefully as they contain important information about your legal rights, remedies, and obligations as guaranteed by Matrix (“Matrix”, “we”, “us” or “our”). By accessing or using this website, our mobile application, and any of our services (altogether, “Matrix” or the “Platform”), you agree to the terms and conditions below (“Terms of Use” or “Terms”).

You understand that your use of any of our services is also subject to Matrix’s privacy notice, cookies policy, and acceptable use policy (collectively, the “Related Agreements”). You are advised not to use any of the services if you have any objections to any of these terms.

We reserve the right to change these Terms from time to time without notice by posting an updated copy of these Terms to the website. You acknowledge and agree that it is your responsibility to review these Terms periodically to familiarise yourself with any modifications. Your continued use of this website after such modifications will constitute acknowledgment and agreement with the modified Terms.

1.About Us

Matrix is a technology service that lets individuals in Nigeria pay everyday bills from a naira wallet — including electricity, airtime, mobile data, cable television subscriptions, and examination pins (“Services”).

“Wallet” means the naira balance we hold for you after you transfer funds to your Matrix virtual account.

“Biller” means a disco, network, cable operator, exam body, or other merchant we settle through our payment partners.

“Platform” means the Matrix mobile application, this website, and related services.

2.Age Restriction

The Matrix Platform is intended solely for users who are 18 or older. By accessing or using the Platform, you represent that you are at least 18. We do not knowingly provide services to people younger than 18 and may terminate an account if we discover otherwise.

3.Registration and User Account
3.1. Registration of Matrix User Account:

You register with a Nigerian mobile number, verify an OTP, and set a payment PIN. You are responsible for activity under your account. We may reject an application or close an account at our discretion where required by law or these Terms.

3.2. By opening a User Account you agree that you will use it only for yourself, and not on behalf of any third party, except to pay a bill you are authorised to pay (for example someone else’s meter).
3.3. Notification of Change:

If information you gave us at registration changes, you must update it in the app or notify us within 14 days.

3.4. Identity Verification:

You may need to complete identity verification (including BVN) before certain limits apply. Information must be complete, accurate, and truthful. You authorise us to make inquiries, directly or through third parties, to verify your identity and to protect against fraud, money laundering, or other financial crime.

3.5. User Account Security:

Keep your PIN, OTP, and device credentials confidential. Face ID, where enabled, only unlocks the PIN locally — it does not replace the PIN we require to pay a bill. You are responsible for unauthorised use that results from sharing those credentials.

4.Accessing the Services
4.1. Limited License:

We grant you a revocable, limited, non-exclusive, non-transferable license to access and use the Platform for your personal use in accordance with these Terms.

4.2. Restrictions:

You may only use the Services in compliance with applicable law. You must not probe, scan, or test the Platform for vulnerabilities, reverse engineer it, or use it to send or receive funds you know to be fraudulent. You must cooperate with identity checks we reasonably request.

5.Risk Statement

Bill payments depend on billers and networks we do not control. A disco may delay a token; a network may delay airtime. We retry failed payments and refund your wallet when a biller confirms failure or when our timeout is reached.

Information in the app is not financial, investment, or professional advice. You are responsible for entering the correct meter, phone, or IUC. We show the name returned by the biller before you pay so you can check it.

6.Transaction

6.1. The Platform lets you fund a naira wallet and pay supported billers in Nigeria.

6.2. We may add or remove billers, or pause a biller, without notice where the partner or the law requires it.

6.3. A payment may be delayed or cancelled while we verify your identity, validate a meter or IUC, contact you, or comply with applicable law.

6.4. Bank cut-off times can delay wallet credits. We are not liable for a delay caused by the sending bank.

6.5. If funds that do not belong to you are credited to your wallet, tell us immediately. We may reverse the credit. If the balance is gone, you must repay us within 3 working days of our request.

6.6. We may refuse a payment we reasonably believe would breach these Terms or involve fraud.

7.Account Information and Transaction records

7.1. You can review wallet activity and receipts in the app. Tell us within fourteen (14) calendar days if you do not recognise an entry.

7.2. We may correct a manifest error and reverse or amend a transaction that should not have settled.

7.3. Successful bill payments show a receipt with the biller reference and, for prepaid electricity, the token where the biller returns one.

7.4. We may be required to share account and transaction information with regulators, banks, or law enforcement. Our Privacy Notice explains how we process personal data.

8.Using your Account

8.1. Instructions you submit (including meter number, amount, and PIN) must be complete and accurate. Once a pay instruction is received by our server it is generally irrevocable.

8.2. We will not complete a bill payment if your wallet balance is insufficient, including fees shown at confirmation.

8.3. Withdrawals from the wallet back to a bank account, if offered, may be paused to resolve an incident on the Platform or where law prevents the transfer.

9.Amounts

9.1. All amounts on the Platform are Nigerian naira.

9.2. The amount you will pay, and any fee, is shown before you confirm. Confirming is optional until you submit your PIN.

9.3. Wallet credits from bank transfers are booked when our payment partner confirms them.

10.Fees

10.1. If a transaction causes us to incur chargebacks or similar bank fees because of your conduct, you agree to reimburse those fees.

10.2. Your wallet does not earn interest.

10.3. Failed bills are returned to your Matrix wallet, not to the original sending bank, unless we agree otherwise.

11.Cancellation and Refund

11.1. You may stop using the Service and request account closure by emailing us from the address on your profile. We may hold a remaining balance for up to 30 business days to let pending billers settle.

11.2. After a token, airtime, or subscription has been delivered to the biller you cannot reverse it through Matrix. Raise a help request if the biller did not fulfil.

12.Termination

12.1. We may suspend your account, freeze a balance, or limit access if we suspect a breach of these Terms, our Privacy Notice, or applicable law — including unusual activity, failed identity checks, or a lawful order.

12.2. Where practicable and lawful, we will email you the reason.

12.3. To close your account, email hello@goafrica.tech from the address on the account. After pending transactions clear we will return any remaining balance we are not required to withhold.

13.How We Contact Each Other

13.1. How you can contact us: hello@goafrica.tech or 0700 BITO NG (8am–10pm daily). Provide enough detail for us to find your account.

13.2. How we will contact you: email and in-app notices at the address and number you provided. Keep them current.

14.Intellectual Property

We do not grant you any licences to our intellectual property except as stated in these Terms. The Matrix name, mark, screens, and copy are owned or licensed by us.

15.Privacy notice

By using the Services you consent to the collection, use, storage, and disclosure of your information as set out in these Terms and our Privacy Notice.

16.Website Accuracy

We try to keep disco lists, plans, and fees accurate, but biller catalogues change. Confirm the amount and customer name in the app before you pay.

17.Third-Party Websites

The Platform may link to third-party sites we do not control. Those sites have their own terms and privacy notices.

18.Representation and Warranties

You represent that you have authority to use the Platform and that information you give us is true. The Services are provided “as is” and “as available” to the maximum extent permitted by Nigerian law. We do not warrant that a particular disco or network will accept a payment instantly.

19.Indemnification

You agree to indemnify Matrix, its affiliates, and employees against claims arising from your use of the Platform, your breach of these Terms, or false information, except where the claim arises from our gross negligence or wilful misconduct.

20.Limitation of Liability

To the maximum extent permitted by applicable law, Matrix is not liable for indirect, incidental, or consequential damages, or for delays caused by billers, banks, or networks. Our total liability for a claim relating to a payment will not exceed the naira amount of that payment.

21.Dispute Resolution

21.1. Email hello@goafrica.tech first. We aim to reply within 15 days, or to explain a delay not exceeding 30 days from first receipt.

21.2. If we cannot resolve the claim, it may be submitted to mediation at the Lagos Multi-Door Courthouse. These Terms are governed by the laws of the Federal Republic of Nigeria.

22.Miscellaneous Provisions

22.1. Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.

22.2. Severability: If a provision is invalid, the rest remains in effect.

22.3. Assignment: You may not assign these Terms without our consent. We may assign them as permitted by law.

22.4. Force Majeure: We are not liable for delay caused by events beyond our reasonable control, including biller or network outages, epidemic, or government action.
